1. Acceptance of these terms

These Terms & Conditions (“Terms”) are a binding agreement between you and Global Transaction Systems, LLC (“YayFTP,” “we,” “us”) governing your use of yayftp.com, our APIs, and the YayFTP connector for Claude and other MCP-compatible clients (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to it.

2. The Service

YayFTP is a browser-based FTP/SFTP client and file-transfer service. It lets you connect to file servers that you own or are authorized to use, browse and manage files, transfer files between locations, edit files in the browser, and perform the same operations programmatically through our API and MCP connector. YayFTP acts as a conduit to servers you designate; we do not host your file servers and are not a backup service.

3. Accounts and eligibility

• You must be at least 13 years old (or the age of digital consent in your jurisdiction) and able to form a binding contract to use the Service.
• You must provide accurate account information and keep your credentials confidential. You are responsible for all activity that occurs under your account and API keys.
• Notify us promptly at support@yayftp.com if you believe your account or an API key has been compromised.

4. Your servers, credentials, and content

• Authorization. You may only connect the Service to servers, hosts, and accounts that you own or are expressly authorized to access. You are solely responsible for ensuring that your use of the Service complies with the terms of your hosting providers and any applicable law.
• Your content. You retain all rights to the files and data you transfer through the Service. You grant us only the limited right to transmit, and transiently process, that content as needed to perform the operations you request.
• Credentials. Saved server credentials are encrypted at rest as described in our Privacy Policy. You are responsible for keeping the underlying server accounts secure and for rotating credentials you believe are compromised.
• Backups. Certain operations automatically write a timestamped backup (for example to a .yayftp-bak folder) on your server before overwriting or deleting a file. These backups are a convenience, are stored on your own server, count against your own storage, and are your responsibility to manage. They are provided on a best-effort basis and are not a substitute for an independent backup strategy.

5. API keys and the MCP connector

• API keys act as bearer credentials for your account. Treat them like passwords. You can revoke a key at any time from your account settings; revocation takes effect for subsequent requests.
• The MCP connector allows AI assistants (such as Claude) to perform file operations on your behalf when you direct them to. You are responsible for the instructions you give an AI assistant and for the operations it performs with your credentials, including uploads, overwrites, and deletions. We recommend configuring your AI client to require confirmation before write or delete operations.
• We may impose and change reasonable technical limits on API and connector use, such as per-file size caps, rate limits, and concurrency limits, to protect the Service.

6. Acceptable use

You agree not to use the Service to:

• Access any server, account, or data without authorization, or probe, scan, or test the vulnerability of systems you do not own;
• Transfer, store, or distribute content that is unlawful, infringing, or malicious (including malware), or that you do not have the right to transfer;
• Violate any applicable law or regulation, including export-control and sanctions laws;
• Interfere with or disrupt the Service, circumvent its security or usage limits, or resell the Service without our written permission;
• Misrepresent your affiliation with YayFTP or use our name or marks without permission.

We may suspend or limit access that we reasonably believe violates this section while we investigate.

7. Fees and plans

The Service is currently offered free of charge. We may introduce paid plans in the future; any fees, billing terms, and refund policies will be posted before they apply to you, and continued use after notice constitutes acceptance.

8. Intellectual property

The Service, including its software, design, and branding, is owned by Global Transaction Systems, LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law. Feedback you send us may be used without obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FILE TRANSFER INHERENTLY CARRIES RISK: TRANSFERS MAY FAIL, BE INTERRUPTED, OR RESULT IN DATA LOSS OR CORRUPTION, AND AI-DIRECTED OPERATIONS MAY PERFORM ACTIONS YOU DID NOT INTEND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AUTOMATIC BACKUPS WILL SUCCEED IN EVERY CASE. YOU ARE RESPONSIBLE FOR MAINTAINING INDEPENDENT BACKUPS OF IMPORTANT DATA.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Global Transaction Systems, LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify and hold harmless Global Transaction Systems, LLC from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including unauthorized access to servers you connected to the Service.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service (with reasonable advance notice where practicable). Upon termination, your right to use the Service ends and we will delete your account data as described in the Privacy Policy. Sections that by their nature should survive (including Sections 4, 8, 9, 10, 11, and 13) survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws principles. The exclusive venue for disputes not subject to informal resolution is the state or federal courts located in Snohomish County, Washington, and both parties consent to personal jurisdiction there. Before filing a claim, you agree to contact us at support@yayftp.com and attempt in good faith to resolve the dispute informally for at least 30 days.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be posted on this page and, where appropriate, announced by email at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
